Should work just fine.  You can get slightly better performance with DDR2-1066 modules, but it also depends on the operating system and CPU you plan on using.  Sick with a 64Bit O/S, and refer to your MB manual for details like this.  I also suggest using one of the many memory finder programs out there for memory where you just type in the MOBO part number and it generates guaranteed matches.  If you want cheap ram, you are in the right place - if you are building a system that optimizes performance (overclocked) or is mission critical, go with the vendor's certified favorites.  It's worth it!

Yes, it should work in that machine however you will be slot bound for future expansion.  There are only 4 memory module slots on that motherboard, and if you should decide on adding even more memory - some or all of these will need to be removed.  If you never envision adding more memory in the future, go for it (they are a great price).  But 16Gb is the sweet spot for windows based machines, and you might want to search out higher density memory for more flexibility.
