Does the 38L backpack have a frame or internal stiffening materials? I am taking a trip using 3 airlines and may need to mash it to a smaller size.

There is no internal frame so you are able to fild the backpack if needed.

Is this bag Waterproof?

It is not fully waterproof - as in not submersible, but more than water resistant. I work outside, in the rain and snow most of the year and this bag has kept contents dry.

Does the 38L fit under an airline seat? What are the dimensions?

The Dimension of the 38L are 19"tall X 12.5 " wide and 12" deep. If packed full, the 38L probably is a little too big to fit under the seat. The 28L would be more suitable for this.
