Q: Does the sheath have a pocket clip?

It does not have a "pocket clip" exactly. It has a "belt clip." The belt loop is hard plastic attached to the sheath but it is open at the bottom with a J shape with spring tension, if that makes sense. You do not have to thread your belt through to get it attached to you, you can just slide it down over your belt and it will "clip" on. So with that said I have put it in my pocket and the clip holds ok but it is not a small knife so it is noticeable in a front or back pocket. I hope this helps. Other than that it is a great tool.

Q: is this rust proof and does it come with the sheath?

Yes, this knife is what professional divers use on oil rigs and in other industrial settings. It is the best of dive knives available to protect you in underwater environments.

Q: How tight is the sheath? Can it be used upside down on a bc?

Right out of the box it has pretty positive retention however that soon changes with regular use! I would definitely not recommend using it upside down on your PC unless you tie some Shock cord through the hole in the handle and loop it around something to keep it in place. I like the knife especially for spearfishing however the sheath is definitely not designed for scuba or freediving. Because of that I have been favoring a cheap $10 knife over this one however I might make a new sheath for it out of Kydex the blade comes to a very fine point which is good to bring fish with. And the handle has positive grip. However if you're not spearfishing you might consider something with a blunt tip.
